ORCAS PORTAL - TERMS AND CONDITIONS

1. ACCEPTANCE OF TERMS

By subscribing to and using ORCAS Portal (“the Service”), you agree to these Terms and Conditions (“Terms”). If you do not agree, you must discontinue the use of the Service immediately. ORCAS Portal reserves the right to update these Terms at any time, and continued use of the Service constitutes acceptance of the modifications.

2. DESCRIPTION OF SERVICE

ORCAS Portal is an all-in-one business automation platform designed to help businesses manage customer relationships, marketing automation, sales pipelines, and communications. The Service is provided on a subscription basis with different plan levels and features.

3. ACCOUNT REGISTRATION AND RESPONSIBILITIES

• You must provide accurate, complete, and updated registration information.

• You are responsible for maintaining the confidentiality of your account credentials and all activities under your account.

• You agree not to share your login credentials with unauthorized individuals.

4. SUBSCRIPTION & PAYMENT TERMS

• Billing: The Service is billed on a recurring basis (monthly or annually) as per your chosen subscription plan.

• Payment Methods: You must provide a valid payment method, and you authorize ORCAS Portal to charge your account for subscription fees and any applicable taxes.

• Refunds & Cancellations: Subscription fees are non-refundable unless otherwise stated. You may cancel at any time, but no partial refunds will be provided for unused portions of a billing cycle.

• Late Payments: If payment is not received within the designated period, ORCAS Portal reserves the right to suspend or terminate access to the Service.

5. USE OF SERVICE

• You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations.

• You shall not misuse, reverse engineer, copy, modify, or distribute any portion of the Service.

• ORCAS Portal reserves the right to suspend or terminate accounts engaging in prohibited activities, including but not limited to spam, fraud, illegal marketing, or abuse of system resources.

6. DATA PRIVACY & SECURITY

• ORCAS Portal follows industry-standard security practices to protect user data. However, you acknowledge that no method of transmission over the Internet is 100% secure.

• You are responsible for compliance with applicable data protection laws when using the Service.

• ORCAS Portal may collect and process personal data per its Privacy Policy (available separately).

7. THIRD-PARTY INTEGRATIONS

• ORCAS Portal may integrate with third-party applications and services.

• You acknowledge that third-party services have their own terms and policies, and ORCAS Portal is not responsible for any issues arising from third-party integrations.

8. INTELLECTUAL PROPERTY

• ORCAS Portal retains all rights, title, and interest in the Service, including all intellectual property and proprietary rights.

• You may not copy, resell, sublicense, or distribute any aspect of the Service without written consent from ORCAS Portal.

9. SERVICE AVAILABILITY & MAINTENANCE

• ORCAS Portal strives for high uptime but does not guarantee uninterrupted service.

• Scheduled maintenance or unforeseen outages may temporarily disrupt service availability.

10. TERMINATION & SUSPENSION

• ORCAS Portal reserves the right to suspend or terminate accounts for violations of these Terms.

• Users may cancel subscriptions at any time via their account settings, but no refunds will be issued for the current billing period.

11. DISCLAIMER OF WARRANTIES

• The Service is provided “as is” and “as available” without warranties of any kind.

• ORCAS Portal does not warrant that the Service will be error-free, uninterrupted, or fit for a particular purpose.

12. LIMITATION OF LIABILITY

• ORCAS Portal shall not be liable for indirect, incidental, consequential, or punitive damages arising from the use of the Service.

• ORCAS Portal’s total liability under these Terms shall not exceed the total fees paid by you in the last six (6) months.

13. GOVERNING LAW & DISPUTE RESOLUTION

• These Terms are governed by the laws of the State of Wyoming without regard to conflict of laws principles.

• Any disputes shall be resolved through arbitration in Wyoming, except where prohibited by law.
